Creator Agreement

1. Introduction

This Creator Agreement ("Agreement") is a legally binding contract between you ("Creator," "you," or "your") and SpicySnaps ("we," "us," or "our") governing your participation as a creator on our platform.

SpicySnaps is a print-on-demand marketplace that allows creators to sell their artwork as premium wall prints. We handle printing, shipping, and customer service, while you focus on creating amazing content.

2. Creator Eligibility

To become a Creator on SpicySnaps, you must meet the following requirements:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Own or have proper licensing rights to all content you upload
• Have a valid payment method to receive earnings
• Not be located in a country where our services are prohibited
• Agree to comply with all applicable laws and regulations

We reserve the right to verify your identity and eligibility at any time. Providing false information may result in immediate account termination.

3. License Grant to SpicySnaps

3.1 License for Sales

By uploading content to SpicySnaps, you grant us a non-exclusive, worldwide, royalty-free license to:

• Reproduce your content for the purpose of creating physical prints
• Display your content on our platform for customers to view and purchase
• Create thumbnails, previews, and watermarked versions for display purposes
• Transmit your content to our print fulfillment partners (Peecho) for production
• Store your content on our servers and those of our service providers

3.2 Marketing License

You also grant us a limited license to use your content for marketing and promotional purposes, including:

• Featuring your work on our homepage, social media, or email newsletters
• Including your content in advertisements for the SpicySnaps platform
• Showcasing your work as examples of creator content

You may opt out of marketing usage by contacting us at creators@spicysnaps.com. Opting out will not affect your ability to sell on the platform.

3.3 License Duration

This license remains in effect for as long as your content is available on our platform. You may remove your content at any time, at which point the license terminates, except for content already sold or in production.

4. Revenue & Commission Structure

4.1 How Earnings Are Calculated

Your earnings are calculated as follows:

• Sale Price: The price paid by the customer for the print
• Base Cost: The production cost charged by our print partner (Peecho)
• Profit Margin: Sale Price minus Base Cost
• Your Earnings: 80% of the Profit Margin
• Platform Fee: 20% of the Profit Margin (retained by SpicySnaps)

4.2 Setting Your Prices

You have full control over your pricing. You can set any markup above the base production cost. Higher markups mean higher earnings per sale, but may affect your conversion rate.

4.3 Payouts

Payouts are processed according to the following terms:

• Minimum Threshold: $50 USD minimum balance required for payout
• Payout Schedule: Monthly payouts processed on the 15th of each month
• Payment Method: Stripe Connect (direct deposit to your bank account)
• Processing Time: 3-7 business days after payout is initiated
• Hold Period: Earnings are held for 14 days after order delivery to account for potential returns or disputes

4.4 Returns & Refunds Impact

If a customer receives a refund, the corresponding creator earnings will be deducted from your balance. If a refund is processed after payout, the amount will be deducted from future earnings.

5. Content Requirements

5.1 Ownership & Rights

By uploading content, you represent and warrant that:

• You are the original creator of the content, OR
• You have obtained all necessary licenses and permissions to sell the content
• You have valid model releases for any recognizable individuals
• The content does not infringe on any third-party intellectual property rights
• You have the right to grant SpicySnaps the licenses described in Section 3

5.2 Technical Requirements

• Minimum resolution: 2000x2000 pixels
• Recommended resolution: 4000x4000 pixels or higher for large prints
• Supported formats: JPEG, PNG, TIFF
• Color profile: sRGB recommended for accurate color reproduction
• Maximum file size: 100MB per image

5.3 Content Policy Compliance

All content must comply with our Content Policy. This includes:

• All depicted persons must be 18 years of age or older
• No non-consensual content, revenge porn, or unauthorized deepfakes
• No content depicting minors in any context
• No illegal content, extreme violence, or content promoting harm
• No stolen or copyrighted content

6. Creator Responsibilities

6.1 Accurate Representation

You agree to:

• Provide accurate descriptions of your content
• Not misrepresent the nature, quality, or origin of your content
• Maintain accurate account information, including payment details

6.2 Tax Compliance

You are solely responsible for:

• Reporting and paying all applicable taxes on your earnings
• Providing accurate tax information (W-9 for US creators, W-8BEN for international)
• Understanding and complying with tax laws in your jurisdiction

SpicySnaps will provide annual earnings statements and may report earnings to tax authorities as required by law.

6.3 Customer Interaction

While SpicySnaps handles customer service for orders, you may receive messages from customers about your content. You agree to respond professionally and promptly to any inquiries forwarded to you.

7. Prohibited Activities

As a Creator, you are prohibited from:

• Uploading content you do not own or have rights to sell
• Violating any applicable laws or our Content Policy
• Manipulating reviews, ratings, or sales metrics
• Creating multiple accounts to circumvent restrictions
• Attempting to contact customers outside the platform for sales
• Using automated systems to upload content without permission
• Engaging in fraudulent activities or misrepresenting sales
• Interfering with other creators' content or sales

8. Intellectual Property Ownership

8.1 Your Content

You retain full ownership of all content you upload to SpicySnaps. The license you grant us (Section 3) does not transfer ownership of your intellectual property. You are free to sell, license, or use your content elsewhere.

8.2 SpicySnaps Platform

The SpicySnaps platform, including our website, branding, and technology, remains our exclusive property. Nothing in this Agreement grants you any rights to our intellectual property except as expressly stated.

9. Account Termination

9.1 Termination by You

You may terminate your creator account at any time by:

• Removing all your content from the platform
• Contacting us at creators@spicysnaps.com to close your account

Upon termination, you will receive any unpaid earnings above the minimum threshold in the next payout cycle. Earnings below the threshold will be forfeited.

9.2 Termination by SpicySnaps

We may suspend or terminate your creator account for:

• Violation of this Agreement or our Terms of Service
• Violation of our Content Policy
• Fraudulent activity or misrepresentation
• Receiving multiple valid DMCA takedown notices
• Inactivity for more than 12 consecutive months

10. Indemnification

You agree to indemnify, defend, and hold harmless SpicySnaps, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your content or its sale through our platform
• Your violation of this Agreement
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations
• Any claims by models, subjects, or rights holders related to your content

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• SpicySnaps shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform
• Our total liability to you shall not exceed the total earnings you have received through the platform in the 12 months preceding any claim
• We are not liable for any loss of data, revenue, profits, or business opportunities

We do not guarantee any level of sales, earnings, or exposure for your content. Your success depends on various factors including content quality, pricing, and market demand.

12. Changes to This Agreement

We may update this Creator Agreement from time to time. When we make material changes, we will:

• Notify you via email at least 30 days before changes take effect
• Post the updated Agreement on our website
• Update the "Last updated" date at the top of this page

Your continued use of the platform after changes take effect constitutes acceptance of the updated Agreement. If you do not agree to the changes, you may terminate your account before the effective date.

13. Dispute Resolution

If you have a dispute with SpicySnaps:

• Step 1: Contact us at creators@spicysnaps.com to attempt informal resolution
• Step 2: If unresolved after 30 days, either party may initiate binding arbitration
• Step 3: Arbitration will be conducted under AAA rules in the State of Delaware

You agree to waive any right to participate in class action lawsuits against SpicySnaps. This Agreement shall be governed by the laws of the State of Delaware without regard to conflict of law principles.
